Transition

ABN AMRO Bank N.V. was acquired by a consortium of Fortis, RBS and Santander in October 2007. On 3 October 2008, the Dutch state announced that it has bought Fortis Bank Nederland, including its interests in ABN AMRO Bank N.V. As of 24 December 2008, the Dutch state replaced Fortis as a stakeholder in RFS Holdings, which continues to manage ABN AMRO N.V.

The Dutch government's interest in ABN AMRO includes Business Unit Netherlands, Private Clients and the International Diamond & Jewelry Group. By legal demerger, these businesses will be split of from ABN AMRO Bank N.V. and will be transferred to a newly created entity (“new ABN AMRO”).

Soon after legal demerger the remaining ABN AMRO businesses (the businesses moving to RBS) are expected to be renamed from ABN AMRO Bank N.V. to RBS N.V. The new N-Share entity can therefore continue to use the brand name ABN AMRO Bank N.V.

In the coming period the Dutch state will work together with the representatives of the acquired entities to decide on the best strategy to move forward. More information will be provided when it becomes available.
