General Meeting

A General Meeting is a gathering of ABN AMRO with its shareholders and depository receipt holders. A General Meeting is required by law and the Articles of Association of ABN AMRO Bank NV to be held at least once each calendar year. In this Annual General Meeting ABN AMRO reports on its businesses and operations and is held accountable towards its shareholders and depositary receipt holders. In addition to the Annual General Meeting, an Extraordinary General Meeting may be convened for issues where the General Meeting must decide upon.

Examples of resolutions that need approval from the General Meeting are:
  • Approval of resolutions of the Executive Board relating to important changes to the identity or character of ABN AMRO Bank N.V.
  • Amendments to the articles of association of ABN AMRO Bank N.V.
  • Appointment of Supervisory Board members.
  • Granting discharge to the Executive Board and Supervisory Board members.
