Policy on Bilateral Contacts with Shareholders.

ABN AMRO understands the importance of talking directly with its (potential) shareholders and holders of depositary receipts. To make this communication easier, the Executive Board of ABN AMRO has created a Policy on Bilateral Contacts with Shareholders, with the approval from its Supervisory Board. This policy folllows best practice provision 4.2.2 of the Dutch corporate governance code. For more details, please see the Policy on Bilateral Contacts with Shareholders.

NLFI

ABN AMRO has a relationship agreement (the Relationship Agreement) with stichting administratiekantoor beheer financiële instellingen (NLFI). This agreement includes arrangements for ABN AMRO to provide information to NLFI. These arrangements help NLFI meet its obligations under relevant laws (including the Wet stichting administratiekantoor beheer financiële instellingen ),regulations and its articles of association, and comply with requests from the Dutch Minister of Finance. NLFI’s information rights under the Relationship Agreement apply as long as NLFI holds (directly or indirectly) at least 15% of the shares in ABN AMRO. NLFI’s information right about investments or divestments worth EUR 50 million or more is an exception: this right exists as long as NLFI holds one third of the shares or more.

STAK AAB

ABN AMRO has a defence structure where the independent Stichting Administratiekantoor Continuïteit ABN AMRO Bank (STAK AAB) holdsshares in ABN AMRO's issued share capital and has issued depositary receipts (certificaten) representing these shares. These depositary receipts can be traded on Euronext Amsterdam. ABN AMRO may have bilateral conversations and share information with STAK AAB if it is in the best interest of ABN AMRO and its business. This is especially important if STAK AAB needs to make a well-informed decision about exercising its rights under section 2:118a Dutch Civil Code and the trust conditions (administratievoorwaarden).
